You will play an integral part in all key activities associated with the transactions, including project administration, financial analysis, transaction or project design, valuation modeling, risk assessment and mitigation, integration execution.
Job Description
Key Responsibilities:
Leads inorganic and strategic partnership opportunities and negotiates transactions from initial engagement through integration execution to support Nationwides desired capabilities, diversification, profitability and growth objectives . Primary focus areas include financial, risk, operations, human capital and brand impacts.
Partners and collaborates with Business Unit Presidents, senior executives and group and business unit CFOs and various internal partners to identify capability gaps, new markets, and target criteria to identify potential target companies for acquisition or strategic partnership opportunities for growth, capabilities, talent liftouts , new business line development or operating model redesign.
Partners and collaborates with Business Unit Presidents, senior executives and group and business unit CFOs and various internal partners to identify divestiture opportunities and target acquirers ; managing projects from inception to project closing and oversees transition services engagement.
Organizes, facilitates , and leads highly confidential, complex project teams of relevant parties from across Nationwides business unit, corporate and technology functions, as well as outside advisors and counterparties to drive business results.
Manages cross-functional workstreams during the evaluation, due diligence, and integration phases of corporate development opportunities.
Builds and maintains actuarial-based valuation models, which includes the development of the model structure, functionality, sensitivity testing capabilities, revenue growth and expense forecasting and risk components. Prepares and communicates valuation modeling results, options, and recommendations to OCEO members, Business Unit Presidents, group and individual Chief Financial Officers and other senior leadership members.
Partner s with PM&A , treasury, and capital planning teams to integrate pipeline and execution opportunities into group and business unit forecasts.
Coordinates the consultation, preparation and communication of evaluation acquisition, divestiture, and strategic partnership recommendations to all levels of management, including the Board of Directors, OCEO, Finance, and business unit leadership teams.
Conducts due diligence reviews to ensure the reliability of information provided by potential acquisition targets and assess the risk profile of acquisition target.
Establishes and manages external relationships with other investment banks, industry specialists and thought leaders to facilitate strategic vision and alternatives.
Research industry corporate development practices; evaluates, develops, and improves department processes, tools, models, and reports. This includes making recommendations for areas of improvement, identifying industry resources, and calculating costs of implementation.
Stays current on industry-relevant transactions, including any potential impacts to transaction valuation multiples. Prepare summaries of such transactions and communicate to applicable business and finance leaders.
May perform other responsibilities as assigned.
Reporting Relationships : Reports to AVP, Corporate Development.
Typical Skills and Experiences:
Education: Undergraduate studies in finance, accounting, statistics or related field. Graduate level studies with advanced degree preferred.
License/Certification/Designation: Technical insurance or financial services industry coursework or certifications (CPCU, CPA, CFA, NASD, etc.) are desirable.
Experience: Typically, ten or more years in related work experience; preferred candidates will have a minimum of five years of related experience in corporate development, investment banking, corporate strategy, private equity, venture capital or similar transactional experience. Experience within the insurance and/or financial services industry is strongly desired. Significant leadership experience with strategic projects, from either a bulge bracket investment banking firm or Corporate Development for a Fortune 100 company preferred.
Knowledge, Abilities and Skills: Proven ability to use business and industry knowledge. Must have excellent problem-solving skills including the ability to structure problems, identify core issues, articulate problem statements, lead problem solving discussions, and separate issues into discrete work streams that result in solutions. Technical expertise in advanced financial principles and concepts such as actuarial-based discounted cash flow valuations, CAPM, IRR, NPV, RAROC. Proven knowledge in statistical modeling concepts and methodologies and ability to interpret results. Broad-based knowledge of multiple corporate and financial subject areas. Demonstrated competency in clearly presenting thoughts, ideas and concepts both verbally in individual and group settings and in writing. Must demonstrate ability to provide impactful advice/solutions to parties involved including Business Unit Presidents, CFOs, and OCEO, and builds effective partnerships ensuring priorities are aligned. Demonstrated competency in utilization of approaches/tools customary to strategy professionals and demonstrates key areas of effective project management such as scope definition, time management, cost analysis, human resources management, risk assessment and management. Ability to work and handle large, complex projects ; lead and develop engaged, high performing project teams ; and analyze financial and business data and make recommendations for approval by OCEO, Business Unit Presidents, CFOs and other senior executive leadership team. Ability to work with various cross-functional areas in time sensitive and fast-paced circumstances.
